Terms & Conditions

These Terms & Conditions ("Terms") govern access to and use of the Unipal platform, mobile applications, website, and all related services (collectively, the "Platform").
The Platform is operated by:
Student Platform W.L.L, registered in the Kingdom of Bahrain under Commercial Registration number 127080-1; and
Global Student Platform for Information Technology, registered in the Kingdom of Saudi Arabia under establishment number 1010845690,
collectively referred to as "Unipal", "we", "us", or "our". The applicable operating entity and governing law shall be determined by the Partner's or User's country of operation or residence, as applicable, and as specified in the Partnership Agreement where relevant.
These Terms are divided into two parts:
Part A — User Terms: applies to students and end-users accessing the Platform.
Part B — Partner Terms: applies to brands, businesses, and service providers listing their offerings on the Platform.
By accessing or using the Platform in any capacity, you confirm that you have read, understood, and agreed to be bound by the applicable terms in full. If you do not agree, you must discontinue use immediately.
PART A — USER TERMS
A1. Who These Terms Apply To
Part A applies to any individual ("User") who accesses or uses the Unipal Platform, whether as a verified student member or as a general visitor. Users must be at least 16 years of age to register an account. By registering, you confirm that you meet this age requirement.
A2. Account Registration & Verification
To access benefits and offers on the Platform, Users must complete Unipal's student verification process ("Verification"). Upon successful Verification, the User becomes a verified member ("Member") and may access the discounts and offers ("Benefits") provided by participating brands ("Partners").
By registering an account, you agree that:
All information submitted is accurate, complete, and up to date at all times.
You will not create an account on behalf of another person or impersonate any individual.
You will not attempt to circumvent, falsify, or manipulate the Verification process in any way.
Unipal reserves the right to deny, suspend, or terminate any account at its sole discretion if a violation of these Terms is detected or suspected, without prior notice.
A3. Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must not share your login credentials with any third party or allow any other person to access the Platform through your account.
You must notify Unipal immediately at support@unipal.me if you suspect any unauthorized access to your account or any other security breach. Unipal will not be liable for any loss or damage arising from unauthorized use of your account where you have failed to take reasonable steps to protect your credentials.
A4. Acceptable Use
The Platform is provided for personal, non-commercial use only. You must not use the Platform for any purpose that is unlawful, fraudulent, harmful, or in violation of these Terms. Without limiting the foregoing, you must not:
Use the Platform in connection with any criminal, fraudulent, or unauthorized activity.
Attempt to gain unauthorized access to any part of the Platform, its systems, or infrastructure.
Interfere with, disrupt, or place an unreasonable burden on the Platform or its servers.
Copy, reverse engineer, scrape, or extract any part of the Platform without prior written consent.
Use automated tools, bots, or scripts to access or interact with the Platform.
Post, transmit, or distribute content that is unlawful, offensive, defamatory, or harmful to others.
Use the Platform on behalf of any person other than yourself.
Violation of these restrictions may result in immediate suspension or termination of your account and may be referred to relevant law enforcement authorities.
A5. Benefits & Partner Offers
Unipal facilitates access to discounts and offers provided by third-party Partners. Unipal does not own, operate, manufacture, or take responsibility for the quality, availability, accuracy, or fulfillment of any Benefit offered by a Partner. All Benefits are subject to the Partner's own terms and conditions.
Any dispute or complaint regarding a Benefit must be raised directly with the relevant Partner in the first instance. Unipal may, at its discretion, assist in facilitating resolution but is under no obligation to do so and shall not be held liable for the actions or omissions of any Partner.
A6. Intellectual Property
All content on the Platform — including but not limited to logos, design, text, graphics, software, data, and technology — is owned by or licensed to Unipal and is protected under applicable intellectual property laws. You may not reproduce, distribute, modify, or commercially exploit any content from the Platform without prior written permission from Unipal.
A7. Privacy
Your use of the Platform is also governed by Unipal's Privacy Policy, available at Privacy Policy. By using the Platform, you consent to the collection, use, and processing of your personal data as described in the Privacy Policy.
A8. Limitation of Liability
To the fullest extent permitted by applicable law, Unipal shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of, or inability to use, the Platform — including but not limited to loss of data, loss of revenue, or loss of opportunity.
Unipal's total aggregate liability to a User in connection with the Platform shall not exceed the total amount paid by that User to Unipal in the three (3) months immediately preceding the claim.
A9. Refund Policy
Refunds for any paid subscriptions or fees charged to Users are subject to the following conditions:
Refunds may be issued where a service was not delivered due to a technical fault directly attributable to Unipal, or where a duplicate or erroneous charge has occurred.
Refunds will not be issued for partial or full use of a subscription, or for cancellations initiated after the subscription period has commenced, unless otherwise agreed in writing.
Refund requests must be submitted within fourteen (14) days of the issue occurring, with relevant supporting details including User ID and a clear description of the issue, to support@unipal.me.
This refund policy does not affect your statutory rights under applicable consumer protection laws in your jurisdiction.
A10. Amendments to User Terms
Unipal reserves the right to update or modify these User Terms at any time. Where changes are material, Unipal will provide reasonable notice through the Platform or via the email address associated with your account. Continued use of the Platform following notice of any changes constitutes your acceptance of the updated Terms.
A11. Governing Law — Users
For Users based in the Kingdom of Bahrain, these User Terms are governed by and construed in accordance with the laws of the Kingdom of Bahrain.
For Users based in the Kingdom of Saudi Arabia, these User Terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia.
Any disputes arising out of or in connection with these User Terms shall be subject to the exclusive jurisdiction of the courts of the applicable country.

PART B — PARTNER TERMS
These Partner Terms apply to any business, brand, or service provider ("Partner") that enters into a commercial relationship with Unipal to list its offerings on the Platform. These Partner Terms form the legal framework governing all such partnerships and are incorporated by reference into the commercial summary ("Partnership Agreement") signed between the parties.
In the event of any conflict between the Partnership Agreement and these Partner Terms, the Partnership Agreement shall prevail in respect of commercial terms (including pricing, package details, and payment amounts). These Partner Terms shall govern in all other respects.
B1. Term & Commencement
The partnership commences on the date both parties sign the Partnership Agreement and remains in effect for the subscription period specified therein, unless terminated earlier in accordance with these Terms.
The subscription period begins on the earlier of: (a) the date the Partner's offering goes live on the Platform; or (b) thirty (30) days from the date of signing of the Partnership Agreement.
This agreement is for a fixed term as specified in the Partnership Agreement. The option to pay monthly is provided solely as a cash flow convenience for the Partner and does not convert this agreement into a rolling monthly arrangement. Unipal invests in onboarding, platform setup, and campaign planning from the date of signing, regardless of the payment schedule elected.
Accordingly, in the event of early termination by the Partner for any reason other than a material breach by Unipal, the Partner shall remain liable for all fees due and payable for the remainder of the full contractual term.
B2. Renewal
This agreement will renew automatically at the end of each subscription period on the same commercial terms, unless either party provides written notice of non-renewal at least fifteen (15) days before the subscription period ends.
Upon renewal, the applicable fees shall be those set out in the then-current Partnership Agreement or package rates in effect at the time of renewal. If the Partner has previously terminated this agreement, renewal rates shall be subject to Unipal's package rates at the time of re-engagement.
B3. Termination
Either party may terminate this agreement by providing thirty (30) days' prior written notice to the other party, subject always to the early termination liability provisions in clause B1.
Either party may terminate this agreement immediately and without prior notice in the event of:
A material breach of any term of this agreement by the other party that remains unremedied for seven (7) calendar days following written notice specifying the breach; or
Insolvency, bankruptcy, receivership, or cessation of business operations of the other party.
Upon termination, all obligations shall cease as of the effective termination date, except for obligations that by their nature survive termination (including payment obligations, confidentiality, and intellectual property). Each party shall promptly return or permanently destroy all confidential information belonging to the other party. Termination does not relieve the Partner of any payment obligations accrued prior to or arising from the termination, including any early termination liability under clause B1.
B4. Services Provided by Unipal
Unipal shall provide the Partner with the services as specified in the Partnership Agreement, which may include some or all of the following:
Listing and visibility of the Partner's brand and offerings across Unipal's Platform.
Access to the Unipal Business Dashboard, including real-time analytics and performance reporting.
A dedicated relationship manager.
Opportunities for exposure through Unipal's marketing campaigns and on-ground activations.
Data-driven growth recommendations tailored to the Partner's audience.
Unipal shall use commercially reasonable efforts to deliver the services specified. Unipal reserves the right to modify, update, or discontinue specific features or services with reasonable prior notice to the Partner, provided that the core listing and visibility service shall remain available for the duration of the subscription period.
B5. Partner Obligations
The following obligations are mandatory and constitute binding commitments by the Partner. Breach of any Tier 1 obligation shall be treated as a material breach of this agreement:
Tier 1 — Mandatory Obligations:
Honor all offers and discounts published on the Platform without exception, for the duration that such offers are listed and active.
Ensure all transactions redeemed through the Platform are accurately and promptly recorded in accordance with clause B7.
Maintain accurate and up-to-date information on the Business Dashboard at all times, including offer details, pricing, availability, logos, and brand assets.
Tier 2 — Best Efforts Obligations:
The following are expected as part of a good-faith partnership. While not independently enforceable, persistent failure to meet these expectations may be taken into account in the context of renewal negotiations.
Actively promote the partnership through available channels, including in-store visibility materials provided by Unipal and relevant social media activity.
Engage with Unipal's campaigns and activations where feasible.
Take all reasonable steps to prevent unauthorized access to the Partner's Business Dashboard account.
B6. Payment
Payment obligations are as set out in the Partnership Agreement. All invoices are due within seven (7) days of issuance unless otherwise agreed in writing between the parties.
Payments may be made via bank transfer to Unipal's designated account, via the Unipal Business Dashboard, or by any other method mutually agreed in writing.
Unipal reserves the right to apply interest on overdue payments at a rate of 1% per month on the outstanding balance from the due date until the date of payment. Unipal further reserves the right to suspend the Partner's account and remove all active listings from the Platform immediately upon non-payment of any invoice, without further notice and without liability to the Partner.
Reinstatement of a suspended account shall be at Unipal's discretion and subject to full settlement of all outstanding amounts.
B7. Transaction Recording & Compliance
The Partner is obligated to ensure that all transactions redeemed through the Platform are accurately recorded using Unipal's designated portals or integrations. Where no portal or integration is available, the Partner must share complete transaction data with Unipal by the 1st of each calendar month in the format specified by Unipal.
Unipal reserves the right to conduct random audits at any time to verify transaction recording compliance.
If the Partner fails to record transactions within the required timeframe, the following shall apply automatically:
A daily penalty fee equal to the Partner's monthly listing fee as stated in the Partnership Agreement shall be charged for each day of unresolved non-compliance, beginning 72 hours after Unipal notifies the Partner of the failure.
The penalty shall be automatically added to the Partner's next monthly invoice with no further notice required.
Unipal reserves the right to suspend the Partner's account until full compliance is restored.
The Partner must take immediate corrective action upon identifying any transaction recording failure and must notify Unipal within seventy-two (72) hours. Failure to record transactions is considered a material breach of this agreement.
B8. User Compensation
User experience is a non-negotiable priority for Unipal. Where a User complaint arises as a direct result of the Partner's actions, inactions, or negligence — including but not limited to refusal to honor a valid and active offer, unavailability of a promised offering without prior notice, or misconduct by the Partner's staff — the following process applies:
Unipal will assess the complaint and, where the Partner is found to be at fault, will compensate the affected User directly through Unipal's gifting or compensation service.
Unipal will issue a compensation invoice to the Partner within thirty (30) days of the compensation being issued. The invoice shall reflect the exact amount of compensation provided.
The compensation amount shall not exceed BD 5 per incident for Bahrain-based Partners, or SAR 50 per incident for KSA-based Partners, unless otherwise agreed in writing between the parties.
The compensation invoice is payable by the Partner within seven (7) days of issuance and is treated as any other outstanding invoice under clause B6, including the right of Unipal to suspend the Partner's account upon non-payment.
Where a complaint arises due to a fault on Unipal's part, Unipal shall bear the full cost of any compensation issued and no invoice shall be raised to the Partner.
Both parties acknowledge that protecting the user experience is critical to the success of the partnership and commit to acting promptly and in good faith to resolve any complaints.
B9. Intellectual Property
Each party retains exclusive ownership of all intellectual property it owns or licenses. Nothing in this agreement transfers any intellectual property rights from one party to the other.
The Partner grants Unipal a limited, non-exclusive, royalty-free, revocable license to use the Partner's logos, brand assets, trade names, and marketing content solely for the purpose of providing the services under this agreement and promoting the partnership on the Platform. This license terminates automatically upon expiry or termination of this agreement.
Unipal grants the Partner a limited, non-exclusive license to use Unipal's name and logo solely for the purpose of promoting the partnership in accordance with any brand guidelines provided by Unipal. The Partner may not use Unipal's intellectual property in any other context without prior written consent.
B10. Confidentiality
Each party agrees to keep all Confidential Information of the other party strictly confidential and not to disclose it to any third party without prior written consent. "Confidential Information" means any information disclosed in connection with this agreement that is designated as confidential or that by its nature would reasonably be considered confidential — including but not limited to pricing, commercial terms, user data, technology, and business strategy.
Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party prior to disclosure; or (c) is independently developed by the receiving party without reference to the Confidential Information.
This confidentiality obligation shall survive termination or expiry of this agreement for a period of two (2) years.
B11. Liability
To the maximum extent permitted by applicable law, neither party shall be liable to the other for any indirect, consequential, special, or punitive damages — including loss of revenue, profits, data, or business opportunity — whether arising in contract, tort, or otherwise, even if advised of the possibility of such damages.
Unipal's total aggregate liability to the Partner in connection with any and all claims under this agreement shall not exceed the total fees paid by the Partner to Unipal in the three (3) months immediately preceding the event giving rise to the claim.
Unipal shall not be responsible for any errors in the publication of Partner content or advertisements, or for any loss or damage to the Partner's data resulting from the Partner's own actions, omissions, or failure to maintain adequate backups.
B12. Representations & Warranties
Each party represents and warrants to the other that:
It has full legal authority to enter into and perform its obligations under this agreement.
The execution and performance of this agreement does not violate any applicable law, regulation, or third-party obligation binding on it.
It will comply with all applicable laws and regulations in the performance of its obligations under this agreement.
The Partner additionally warrants that all content, offers, and information provided to Unipal for publication on the Platform are accurate, lawful, and do not infringe the rights of any third party.
B13. Amendments
Any amendment to the commercial terms of a specific partnership (including pricing, package, or payment terms) must be made in writing and signed by authorized representatives of both parties.
Unipal reserves the right to update these Partner Terms (Part B) at any time, with thirty (30) days' prior written notice to affected Partners. Continued use of the Platform and maintenance of the partnership following such notice shall constitute the Partner's acceptance of the updated Terms. If the Partner does not accept the updated Terms, it may terminate the agreement in accordance with clause B3, subject to the applicable early termination provisions.
B14. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under this agreement to the extent caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, civil unrest, government action, or failure of third-party infrastructure. The affected party must notify the other party promptly and take all reasonable steps to mitigate the impact and resume performance as soon as practicable.
B15. Severability
If any provision of these Partner Terms is held to be unenforceable, invalid, or illegal by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect and shall not be affected by the severance.
B16. Governing Law — Partners
For Partners operating primarily in the Kingdom of Bahrain, this agreement is governed by and construed in accordance with the laws of the Kingdom of Bahrain. All disputes shall be subject to the exclusive jurisdiction of the courts of the Kingdom of Bahrain.
For Partners operating primarily in the Kingdom of Saudi Arabia, this agreement is governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. All disputes shall be subject to the exclusive jurisdiction of the competent courts of the Kingdom of Saudi Arabia.
The Partner's country of primary operation shall be as specified in the Partnership Agreement. In the event of any conflict between the English and Arabic versions of these Terms, the English version shall prevail in all respects.
B17. Entire Agreement
These Partner Terms, together with the signed Partnership Agreement, constitute the entire agreement between Unipal and the Partner with respect to the subject matter hereof. They supersede all prior agreements, representations, understandings, and negotiations between the parties, whether written or oral.
